The First Bancshares, Inc. (NASDAQ: FBMS) (the “Company”), the holding company for The First, A National Banking Association, announced today that it has priced an underwritten public offering of 1,750,000 shares of its common stock at a price to the public of $29.00 per share for gross proceeds of approximately $50.8 million. The net proceeds to the Company, after deducting underwriting discounts and commissions but before deducting estimated offering expenses, are expected to be approximately $48.2 million. The Company has granted the underwriters a 30-day option to purchase up to an additional 262,500 shares of Company common stock at the public offering price, less discounts and commissions.

Keefe, Bruyette & Woods, A Stifel Company, served as the sole bookrunner and FIG Partners, LLC, served as the lead manager for the offering.

The Company intends to use the net proceeds from the offering to fund the cash portion of the purchase price for the Company’s previously announced acquisition of Southwest Banc Shares, Inc., to fund other potential future acquisitions, and for general corporate purposes, including the repayment of debt and to support organic growth.

The Company expects to close the transaction, subject to customary conditions, on or about October 31, 2017.
