First Credit Finance : Resignation of Independent Non-executive Director and Change of Composition of the Board Committees

The Board announces that with effect from 2 August 2017, Dr. Chan Kin Keung, Eugene resigned as an independent non-executive Director. Upon his resignation, Dr. Chan ceased to act as a member and the chairman of the Compliance Committee and a member of each of the Audit Committee, Nomination Committee and Remuneration Committee.

The Board also announces that Dr. Fung Kam Man has been appointed as the chairman of the Compliance Committee in place of Dr. Chan Kin Keung, Eugene with effect from 2 August 2017.

The board ("Board") of directors ("Directors") of First Credit Finance Group Limited ("Company") announces that with effect from 2 August 2017, Dr. Chan Kin Keung, Eugene ("Dr. Chan") resigned as an independent non-executive Director due to his unexpected family matters to which he has to devote time.

Upon his resignation, Dr. Chan ceased to act as a member and the chairman of the compliance committee of the Board ("Compliance Committee") and a member of each of the audit committee ("Audit Committee"), nomination committee ("Nomination Committee") and remuneration committee ("Remuneration Committee") of the Board.

Dr. Chan confirmed that he did not have any disagreement with the Board and there was no matter in relation to his resignation that needed to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited ("Stock Exchange").

The Board would like to express its sincere gratitude to Dr. Chan for his contribution to the Company during his tenure of office.

The Board also announces that Dr. Fung Kam Man, an independent non-executive Director and an existing member of the Compliance Committee, has been appointed as the chairman of the Compliance Committee in place of Dr. Chan with effect from 2 August 2017.

Save as disclosed above, the composition of each of the Audit Committee, Nomination Committee, Remuneration Committee and Compliance Committee has remained unchanged.
