NOTICE TO THE MARKET
Fleury S.A. ("Company"), in response to the letter GAE 1196-14, issued by BM&FBOVESPA on April 24th, 2014, through which it calls for clarification regarding the news published by Agência Estado - Broadcast, on April 24th, 2014 at 12:16, as well as further information considered important, announces that, according to the letter received by Core Participações S.A. ("Core"), "at this moment there is no definition on the closing or not of such transaction, as well as its terms and conditions, including its price. Core is unaware of the mentioned information about the proposal of R$ 15 per share."
We transcript below the complete versions of the letter GAE 1196-14, the inquiry letter sent to Core by the Company, as well as Core´s answer and the mentioned articles publishes by the media. (Except the inquiry letter sent by the Company to Core, the others attachments are in their original version Portuguese as we don`t translate documents from third parties)
The Company will inform the market if notified of any material fact on this matter, in accordance with the laws and regulations in place.

Em notícia veiculada pela Agência Estado - Broadcast, em 24/04/2014, consta, entre outras informações, que as ações do Fleury exibem queda expressiva nesta manhã, influenciadas por notícia de que a Gávea teria oferecido R$ 15,00 por cada ação do laboratório em negociação com a Core, fundo do grupo de médicos que controla a empresa.
Solicitamos, até 25/04/2014, esclarecimentos sobre a referida notícia, bem como outras informações consideradas importantes.
Esta solicitação se insere no âmbito do Convênio de Cooperação, firmado pela CVM e BM&FBOVESPA em
13/12/2011, e o seu não atendimento poderá sujeitar essa companhia à eventual aplicação de multa cominatória pela Superintendência de Relações com Empresas - SEP da CVM, respeitado o disposto na Instrução CVM nº 452/07.

2014. The letter calls for clarification regarding the information that Fleury´s shares display significant drop influenced by the news that Gávea has offered R$ 15,00 for each share of the

12:16 PULSO DO MERCADO: FLEURY CAI MAIS DE 3% EM MEIO A NEGOCIAÇÃO COM GÁVEA
São Paulo, 24/04/2014 - As ações do Fleury exibem queda expressiva nesta manhã, influenciadas por notícia de que a Gávea teria oferecido R$ 15,00 por cada ação do laboratório em negociação com a Core, fundo do grupo de médicos que controla a empresa, noticiado pela revista Exame. Há pouco, o papel cedia 3,14%, cotado a R$ 16,03, ante leve recuo do
Ibovespa (-0,08%).
Em março, a Core Participações, principal controladora da rede de laboratórios, informou à Comissão de Valores Mobiliários (CVM) que negocia em caráter exclusivo a venda de sua participação direta e indireta para a Gávea. (Beth Moreira - beth.moreira@estadao.com)
