FLEURY S.A. M A T E R I A L F A C T
São Paulo, March 31st 2015 - Fleury S.A. ("Company") informs its shareholders and the market in general that it joined on this date the São Paulo Municipality's Tax Installment Program, established by Law No. 16,097/2014, in the cash payment option, to settle debts related to the Health's Solid Waste Tax currently discussed in court in a collective action under SINDHOSP's responsibility (Union of Hospitals, Clinics, Nursing Homes, Laboratory of Research and Clinical Analysis of São Paulo State).
Despite the fact that there is no final decision yet in the above-mentioned case, the Company's Management considered that the conditions to settle the debts provided by the law are advantageous in view of the uncertainties concerning the timing of the final judgment and the chances of success of the action.
It is important to notice that the amount under discussion is classified with a chance of possible loss, as indicated in the Notes of the Company's Financial Statements.
The amount to be paid, in a single lump sum, of all debts between the years 2003 and
2014, including the discounts provided by the law of 75 % in the fine and 85% in the interest, is equivalent to R$ 27.2 million, which will have an effect of R$ 18.3 million in the Company's net income of 1Q15.
The payment will be done, in accordance to the law, on April 15th 2015.
