As announced on 11 April 2012, Frauenthal Holding AG recently initiated negotiations on the sale of the Frauenthal Group's Industrial Honeycombs Division to potential acquirers.

Frauenthal Holding AG today reached an agreement with Japan's Ibiden Co., Ltd on the sale of the Division to the Ibiden Group for an equity purchase price of about EUR 51 million (m), in addition, the puchaser takes over certain financial debt of the division. The boards of both parties have already approved the deal, and the Sale and Purchase Agreement (SPA) is likely to be signed shortly, possibly today.

Once the SPA will have been signed, the sale will be completed in accordance with conditions precedent customary for this kind of transaction, in particular with regard to clearance by the competition authorities concerned. Completion of the transaction is expected in the second quarter of 2012.

Ibiden Co., Ltd. was established a century ago as an energy supply company, and has grown into an international group with operations in the electronics (including printed circuit boards) and ceramics industries. Ibiden's ceramics business produces diesel particle filters and automotive exhaust system components, as well as graphite products, fine ceramics and ceramic fibre.

The transaction is a logical progression in Frauenthal's strategic realignment, which will see the Group focus on its Automotive Components and Wholesale Plumbing Supplies (SHT) divisions.
