OVERSEAS REGULATORY ANNOUNCEMENT

This announcement is made pursuant to Rule 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

Fuguiniao Co., Ltd. (the "Company") noticed that, on 18 April 2018 國泰君安證券股份有 限公司 Guotai Junan Securities Co., Ltd. ("Guotai Junan"), the trustee of the domestic corporate bonds in the total principal amount of not more than RMB800 million of the Company issued in the People's Republic of China (the "Bonds") published the "Interim Report of Guotai Junan Securities Co., Ltd. about the Management of the 2014 Corporate Bonds of Fuguiniao Co., Ltd." (the "Report") on the website of the Shanghai Stock Exchange.

As stated by Guotai Junan in the Report, among others:

• (i) the interest payment date of the third interest payment year and the principal redemption date of the Bonds is 23 April 2018. As at the date of the Report, there is no concrete arrangement for funds for the redemption of the Bonds and the payment of its interest and there is major uncertainty in the funds for the redemption of the Bonds;

• (ii) the Company pledged 285 exclusive rights to use trademark to 石獅市獅城融資擔保 有限公司 (Shishi Shicheng Financing Guarantee Co., Ltd.*). The registered period of the pledge is from 12 March 2018 to 24 October 2019; and

• (iii) based on the progress of the audit work in respect of the 2017 annual financial report of the Company, it is expected that the Company will not be able to publish its 2017 Annual Report by 30 April 2018 on the website of the Shanghai Stock Exchange. Investors are advised to pay attention to the related risks.
