Galapagos raises €4.4 million through warrant exercises Mechelen, Belgium; 19 June 2015 - Galapagos NV (Euronext & NASDAQ: GLPG) announced today a share capital increase arising from warrant exercises.

Since its inception in 1999, Galapagos has used warrant plans to incentivize personnel and management and have them share in the success of the company. Following warrant exercises during the exercise period from 2 June 2015 through 15 June 2015, Galapagos issued 491,406 new ordinary shares for a total capital increase (including issuance premium) of €4,395,172.45.
CEO Onno van de Stolpe exercised 108,126 warrants, half of which he retained as shares. These exercised warrants were due to expire on 27 June 2015. Onno van de Stolpe has consequently increased his holding to a total of 518,289 shares, representing 1.3% of the outstanding Galapagos shares.
In accordance with Belgian transparency legislation1, Galapagos notes that its total share capital currently amounts to €210,405,535.62; the total number of securities conferring voting rights is 38,894,582, which is also the total number of voting rights (the 'denominator'), and all securities conferring voting rights and all voting rights are of the same category. The total number of rights (warrants) to subscribe to not yet issued securities conferring voting rights is
2,520,399, which equals the total number of voting rights that may result from the exercise of these warrants (but excludes the 625,740 warrants of Warrant Plan 2015 which were created on 30 April 2015, subject to acceptances). Galapagos does not have any convertible bonds or shares without voting rights outstanding.
