Genting Malaysia Bhd : OTHERS

The Board of Directors of GENM wishes to announce the following:

(a) Resorts World Capital Limited, an indirect wholly-owned subsidiary of the Company, had incorporated Genting Worldwide Services Limited ('GWSL') as its direct wholly-owned subsidiary. GWSL was incorporated on 15 December 2016 in the United Kingdom with an issued and paid-up share capital of USD100.00 comprising 100 ordinary shares of USD1.00 each for the purpose of investment holding;

(b) Genting Americas Inc. ('GAI'), an indirect wholly-owned subsidiary of the Company, had formed Genting North America Holdings LLC ('GNAH') as its direct wholly-owned subsidiary. GNAH was formed on 15 December 2016 in the State of Delaware, United States of America with a capital contribution of USD100.00 comprising 100 units of USD1.00 each for the purpose of investment holding; and

(collectively referred to as 'New Incorporations').

(c) Subsequent to the formation of GNAH, GAI transferred its entire equity interest comprising 100,000,100 units of USD1.00 each in Genting New York LLC (a Delaware limited liability company) to GNAH in exchange for 100,000,100 new units of USD1.00 each in GNAH ('Internal Re-organisation').

The Internal Re-organisation aims to consolidate and streamline GENM's corporate structure for its existing and future operations in the North America.

None of the GENM's Directors and major shareholders and/or persons connected with them has any interest, direct or indirect, in the New Incorporations and the Internal Re-organisation.

The New Incorporations and the Internal Re-organisation are not expected to have any effect on the net assets and earnings per share of the GENM group for the financial year ending 31 December 2016.
