The Young Law Firm (the “Firm”), a national shareholder litigation firm, is investigating potential claims concerning the proposed merger of GFI Group Inc (“GFI Group” or the “Company”) (NYSE: GFIG) with CME Group Inc (“CME Group”). On July 30, 2014 the Company announced a two-step transaction through which CME Group will acquire Trayport and FENICS from GFI Group. CME Group will purchase these businesses by first acquiring all of the outstanding shares of GFI Group in exchange for $4.55 per share in CME Group Class A Common Stock. Immediately following the acquisition of GFI Group a private consortium of GFI Group management will acquire GFI Group’s wholesale brokerage and clearing businesses for $165M in cash and the assumption, at closing, of approximately $63M of unvested deferred compensation and other liabilities.

The Firm’s investigation concerns whether the proposed price represents fair value for the Company and whether the interests of the Company’s public shareholders have been adequately protected.
