Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 1, 2017, James Murphy resigned as Chief Financial Officer and Secretary of GI Dynamics, Inc. (the "Company"), effective December 1, 2017. Mr. Murphy's resignation is part of an orderly transition process as the Company continues to evaluate its strategic alternatives going forward. Mr. Murphy has transitioned his financial responsibilities to the Company's VP Finance, Houry Youssoufian, who has been with the Company for six months.
