The Warsaw Stock Exchange ("Company", "Exchange") Management Board informs that, acting at the request of 2 shareholders of the Company pursuant to Article 334.2 of the Code of Commercial Companies and § 4.2-3 of the Company's Articles of Association, on 26 February 2015 it adopted a resolution concerning the conversion of 27,300 series A preferred registered shares into series B ordinary bearer shares.
The Company's Articles of Association impose no limitations on conversion of registered shares into bearer shares. Upon conversion, converted shares become ordinary bearer shares and are designated as series B shares.
The conversion of series A preferred registered shares into series B ordinary bearer shares results in a change of the number of votes conferred by the Company's shares as follows: all shares of the Company will jointly confer 56,752,170 votes at the General Meeting, i.e., 29,560,340 votes conferred by series A shares preferred by each share conferring two votes and 27,191,830 shares conferred by series B shares.
It is the intention of the Exchange Management Board to admit and introduce series B shares originating from the conversion to exchange trading.
