  • Paweł Tamborski is the President of the Management Board of the Warsaw Stock Exchange as of 25 July 2014
  • The WSE General Meeting elected the following members of the Exchange Supervisory Board: Dariusz Kacprzyk, Jacek Lewandowski, Piotr Piłat, Dr Wiesław Rozłucki, Marek Słomski and Professor Marek Wierzbowski

Paweł Tamborski took the office of the President of the WSE Management Board for a new term of office on 25 July 2014 following the receipt of the required approvals including the consent of the Polish Financial Supervision Authority and the consent of the Committee for the Review of Requests for Consent for Emoyment of Persons Who Performed Public Functions appointed by the Prime Minister and following the approval of the financial statements for 2013 by the WSE Ordinary General Meeting.

"I thank CEO Adam Maciejewski and the other Members of the WSE Management Board for their contribution. It was a good and strong term of office of the Management Board. Their hard work over that time clearly contributed to the development of the exchange and the entire capital market. I am aware of the challenges that the new Management Board and I will have to face in the nearest future. Therefore, I accept the position with a sense of great responsibility and I want to thank everyone for the trust they have in me. Continued strengthening of the position of Warsaw Stock Exchange and building of a regional capital hub will be my priorities in the coming years. This will only be possible with the co-operation of all institutions of the Polish capital market," said Paweł Tamborski, President of the WSE Management Board.

The WSE Ordinary General Meeting elected the following members of the Exchange Supervisory Board: Dariusz Kacprzyk, Jacek Lewandowski, Piotr Piłat, Dr Wiesław Rozłucki, Marek Słomski and Professor Marek Wierzbowski.

The WSE Ordinary General Meeting gave a vote of discharge of duties for 2013 to all members of the Management Board and all members of the Exchange Supervisory Board.

The WSE Ordinary General Meeting also passed a resolution concerning the distribution of WSE's 2013 profit. More than PLN 50.36 million was allocated to dividend. The dividend per share is PLN 1.20. The WSE Ordinary General Meeting set the dividend record date at 7 August 2014 and the dividend payment date at 26 August 2014.


President of the Management Board of the Warsaw Stock Exchange

Paweł Tamborski

A graduate of the Academy of Economics in Poznań and holder of a stock broker license since 1991.
From 2012 as Under-Secretary of State at the Ministry of Treasury, he was responsible for privatisation processes, including those conducted on the public capital market. He coordinated cooperation with advisory firms, global investment banks and investors. He was responsible for the promotion of Poland's financial and capital markets to international investors. His responsibilities included the oversight and supervision of a number of companies, including those in the financial sector, in which the State Treasury is a significant shareholder. He coordinated the development and imementation of the dividend policy of the Treasury.
From 2010 to 2012 at Wood & Co, an independent investment bank focused on Central and Eastern Europe, Paweł Tamborski fulfilled the role of Head of Investment Banking.

Previously, from 1994 at Unicredit Group (at the time CAIB, part of Creditanstalt Bankverein AG). Before that at Bank Staropolski SA, where he started his career in the capital markets as a securities broker and helped to establish one of the first brokerage operations in Poland, after which he joined the brokerage arm of Wielkopolski Bank Kredytowy S.A. (now Bank Zachodni WBK SA).

At Unicredit CAIB, he was in charge of the investment banking team in Warsaw (Head of Investment Banking and Member of the Executive Board of Unicredit CAIB Poland). From 2008 he was co-head of the London Equity Capital Markets team responsible for Central and Eastern Europe (ECM CEE).

During his career at Unicredit Group, Paweł Tamborski was responsible for advising many of the largest domestic and international corporates, entrepreneurs and investors on a wide variety of public and non-public market transactions. These included issuance of equities, bonds, and convertible bonds, as well as mergers and acquisitions, and privatisation transactions.

Supervisory Board

Dariusz Kacprzyk

Mr Dariusz Kacprzyk graduated from the Department of Domestic Trade and Services, Warsaw School of Economics, and holds an MBA from the Kozminski University. He has cometed the IESE - University of Navarra, Advanced Management Program.

He has been active in banking for 23 years. In June 2013, he was appointed as President of the Management Board of Bank Gospodarstwa Krajowego.

In 2009-2012 with BRE Bank S.A. as Director of the Corporations Department and Member of the Credit Committee of the Bank's Management Board. Prior to that, in 2007-2009, he worked with Bank PEKAO S.A. as Proxy, Member of the Credit Committee and Managing Director in the Corporate Banking, Real Estate Finance and International Markets Division. He also worked with Bank BPH S.A. and Powszechny Bank Kredytowy S.A. before its merger with BPH, and with Bank PKO BP. He was Co-ordinator of the Municipal Development Program organised by the World Bank with the Municipal Development Agency (Foundation of the Ministry of Finance).

Mr Dariusz Kacprzyk does not perform in any form any activities competitive to the WSE, he is not engaged in a competitive company as a partner in a partnership or civil law partnership or a member of an authority of a joint stock company, and he is not engaged in any other competitive legal entity as
a member of its authority. Mr Dariusz Kacprzyk does not have a record in the Register of Insolvent Debtors operating under the Act on the National Court Register.


Jacek Lewandowski

Jacek Lewandowski graduated from the Warsaw School of Economics with a major in Management in 1996.
He started his professional career at Commercial Union Polska in 1994. In 1995-1996 he worked at the Treasury Department of Bank Gospodarstwa Krajowego. In 1996-1998 he worked at Polski Bank Rozwoju S.A.

In 1998 - 2003 he was Head of the Primary Market Department at Dom Inwestycyjny BRE Borkers (currently: Dom Inwestycyjny BRE Banku S.A.).
In May 2003, Mr Lewandowski founded Dom Inwestycyjny IPOPEMA S.A. and two years later - Dom Maklerski IPOPEMA S.A. (currently: IPOPEMA Securities S.A.), which took over the operations of Dom Inwestycyjny in 2006. Since March 2005 he has served as President of the Management Board of IPOPEMA Securities S.A.

From March to September 2007 he was President of the Management Board of IPOPEMA Towarzystwo Funduszy Inwestycyjnych S.A. and since September 2007 he sat on the company's Supervisory Board.
Since June 2010 Member of the Supervisory Board of Zakłady Azotowe w Tarnowie-Mościcach S.A.

Piotr Piłat

Piotr Piłat holds a degree from the Warsaw School of Economics.
He joined the Ministry of Finance's Financial Institutions Division in 2002. He is now Director of the Financial Market Development Department. He leads the Ministry's efforts in the imementation of regulations governing the Polish financial market: the banking and insurance sectors, the capital market and the payment systems. He is also responsible for EU co-operation in the financial markets.

He is former Member of the Supervisory Board of the Polish Security Printing Works (PWPW) and the Central Securities Depository of Poland (KDPW) and former Member of the Polish Banking Supervision Commission (KNB) and later the Polish Financial Supervision Authority (KNF). He is a Member of the Supervisory Board of the Bank Guarantee Fund (BFG) and a Member of the Financial Services Committee.

dr Wiesław Rozłucki

Economist, graduate of the Foreign Trade Department, Warsaw School of Economics, 1970. PhD in Economic Geography. In 1979-1980, on a British Council scholarship at the London School of Economics.
In 1990-1991, he was an advisor to the Minister of Finance and later Department Director at the Ministry of Privatisation.

In 1991-2006, President of the Management Board of the Warsaw Stock Exchange. Member and Chairman of the Supervisory Board of the National Depository of Securities (KDPW, in 1994-2006). Member of the Executive Board of the Federation of European Securities Exchanges (FESE) and of the Working Committee of the World Federation of Exchanges (WFE, in 1994-2006).

Currently Chairman of the Programmatic Board of the Polish Institute of Directors and Member of the Best Practice Committee founded in 2001.

Member of the Supervisory Boards of public companies including: Bank BPH, Orange Polska, TVN. Advisor to the investment bank Rothschild and the private equity fund Warburg Pincus International.
Since 2011, Chairman of the Jury of the Economic Award of the President of Poland.

Awarded with the Commander's Cross with Star of the Order of Polonia Restituta and the French L'Ordre National du Merite.

Marek Słomski

Graduate of the Silesian University of Technology in Gliwice with Ph.D. in Technical Sciences, engineer.
Since 1996 has served as the President of the Management Board of ING Securities S.A. w Warszawie (formerly Dom Maklerski Banku Śląskiego S.A.). Since 1992 has been associated with Bank Śląski, at the beginning as the Branch Director in Zawiercie, and since 1994 as the Director of Brokerage House. In 1991-1992 worked as the Managing Director and afterwards as the President of the Management Board and CEO of Fabryka Łożysk Tocznych Prema Milmet S.A. in Sosnowiec. In 1987-1991 managed the research company named Biuro Studiów, Badań i Projektów Ekspert Sp. z o.o. of which he was a founder and co-owner. In 1973-1991 worked at the Silesian University of Technology, since 1982 as Assistant Professor.
Mr Słomski served in several supervisory boards, including V Narodowy Fundusz Inwestycyjny Victoria S.A. (1994-1998), Centralna Tabela Ofert S.A. (1996-2000), ING Investment Management (Polska) S.A. (1996-2001), ING BSK Towarzystwo Funduszy Inwestycyjnych S.A. (1997-2001), Giełda Papierów Wartościowych w Warszawie S.A. (two times in 2004-2006 and in 2008) and Fabryka Butli Technicznych MILMET S.A. in Sosnowiec (2005 -2006). He is registered by the Ministry of State Treasury in the data base of candidates for supervisory boards' members in commercial companies with State Treasury shareholding.

Mr Słomski cometed many training programs on company's strategy, management and capital markets organized, among others, by Institut Francais de Gestion, Barclays Bank, Dresdner Kleinwort Benson and ING Bank.

prof. Marek Wierzbowski

Marek Wierzbowski received his MA in Law from the Faculty of Law and Administration of the University of Warsaw in 1968. He started his professional career at the Faculty of Law and Administration of the University of Warsaw, where he obtained the title of professor of legal sciences in 1988.

Ordinary professor of University of Warsaw. Legal counsel. He was partner of the international law firms Weil Gotshal & Manges and Linklaters.

Legal counsel and partner in the law firm Prof. Marek Wierzbowski i Partnerzy - Adwokaci i Radcowie Prawni.

Member of the Public Procurement Council and President of the Court of the Chamber of Brokerage Houses.
He was Member of the College of the Supreme Chamber of Control and Deputy President of the Court of Arbitration at the Polish Chamber of Commerce.

Marek Wierzbowski was also a visiting professor at the faculties of law of several US universities. Visiting scholar at University of California Berkeley School of Law.

He is Member of the Supervisory Board of BRE Bank S.A., TFE AXA S.A., Mostostal Zabrze S.A. and Novitus S.A., and Deputy Chairman of the Supervisory Board of Skyline Investments.

Between 1998 and end of June 2002, he was Chairman of the Exchange Supervisory Board.
