Giełda Papierów Wartościowych w Warszawie S.A. ('the Warsaw Stock Exchange', 'GPW', 'the Exchange' or 'the Company') announces that the GPW Supervisory Board acting pursuant to Article 368 (4) of the Code of Commercial Companies and Partnerships in conjunction with § 20 (3) of the Company's Articles of Association decided at its meeting held on 12 June 2018 to appoint the following Members of the Management Board of the Warsaw Stock Exchange of the new term of office:

• Mr Jacek Fotek as Vice President of the Exchange Management Board,
• Mrs Izabela Olszewska as Member of the Exchange Management Board,
• Mr Piotr Borowski as Member of the Exchange Management Board,
• Mr Dariusz Kułakowski as Member of the Exchange Management Board

The CV of the newly appointed Members of the Management Board are attached hereto.
According to Article 27 (1) of the Act on Trading in Financial Instruments of 29 July 2005, in the case of Mrs Izabela Olszewska and Mr Piotr Borowski, the decision will take effect subject to the approval of the changes to the composition of the Exchange Management Board issued by the Polish Financial Supervision Authority (KNF), however, not earlier than on August 1, 2018.
In the case of Mr Jacek Fotek and Mr Dariusz Kułakowski, the appointment to the GPW Management Board will take place on July 26, 2018, i.e. with the start of the new term of office of the GPW Management Board.

According to the declaration submitted by the newly appointed Management Board Members, they conduct no activity competitive to GPW, have no interest in a competitive company as partners in a partnership or civil partnership or as members of a body of a capital company and have no interest in any other competitive legal entity as members of its bodies. Furthermore, the newly appointed Management Board Members have a clean record in the Bad Debtor Registry maintained under the Act on the National Court Register.

Legal basis: § 5 (5) of the Regulation of the Minister of Finance of March 29, 2018 regarding current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
