Resolution No. 1096/2016
of the Warsaw Stock Exchange Management Board
dated 20 October 2016

concerning the admission to exchange trading in the GPW Main List
of series A, B and C bearer ordinary shares
and rights to series C bearer ordinary shares
of the company STELMET S.A.

§ 1

1. Pursuant to § 3.1, § 3.2, § 3.5 and § 3.6 of the Exchange Rules, the Exchange Management Board resolves to admit to exchange trading in the main market:

1) the following shares of the company STELMET S.A., a par value PLN 1 each, conditional on the conversion of these shares into bearer ordinary shares:

a) 24,972,954 series A shares,
b) 2,923,051 series B shares;

2) 1,468,210 series C bearer ordinary shares of the company STELMET S.A., a par value PLN 1 each, conditional on the registration of the company's share capital increase following the issue of series C shares.

3) 1,468,210 rights to series C bearer ordinary shares of the company STELMET S.A. a par value PLN 1 each.

§ 2

This Resolution shall take effect on the date of adoption.
