GP INVESTMENTS, LTD. NOTICE TO THE MARKET
GP INVESTMENTS, LTD., a company headquartered at 129, Front Street, Penthouse, Hamilton HM 12, Bermuda, which Class A shares are traded on BM&FBOVESPA S.A. - Bolsa de Valores, Mercadorias e Futuros as Brazilian Depositary Receipts, hereby informs, in addition to the information made available in the Material Fact of May 16, 2017, that GP Investments Acquisition Corp. ("GPIAC") announced that it has approved, at its extraordinary general meeting held on the date hereof, the proposal to extend the date by which GPIAC must complete its business combination from May 26, 2017 to November 27, 2017, among other proposals.
GPIAC and Rimini Street continue to target closing the transaction announced on May 16, 2017 in the third quarter of 2017.
