Notice of Special General Meeting

Gulf Keystone Petroleum announces today that a special general meeting of the shareholders of the Company ('SGM') will be held on 8 December 2015 to approve proposed amendments to certain provisions of the Company's bye-laws ('Bye-laws').

The Bye-laws contain certain provisions that, among other things, (a) restrict the ability of the Company to appoint directors who are UK residents, (b) limit the ability for the board of directors of the Company (the 'Board') to act, in meeting, in circumstances where a majority of the directors present at such meeting are UK residents and (c) require the chairman of the Board to not be resident in the UK.

The Board wishes to remove these restrictions in order to enable the Company to identify and appoint suitably qualified and experienced persons to the Board, regardless of whether they are UK residents or not, and to remove the restrictions on the ability of the Board to conduct meetings.

The Board therefore recommends amending the provisions of the Bye-laws to remove the UK resident restrictions, which requires the convening of a SGM and the Resolution being voted upon.

The SGM will take place at Hotel Pullman Brussels Centre Midi, Place Victor Horta 1, 1060 Brussels, Belgium on 8 December 2015 at 12 noon (local time).

The Notice of the SGM is being posted to shareholders today.
