Closing of the scrips private placement

As announced yesterday, 6,947,939 preference subscription rights unexercised during the subscription period (automatically converted into scrips) were offered for sale to qualified investors through an accelerated bookbuilding procedure in the framework of a private placement. These scrips gave the possibility to subscribe to new shares at a ratio of 6 new shares for 1 scrip, and at a price of EUR 0.50 per share.

Further to the closing of the scrips private placement by way of accelerated bookbuilding, no subscription has been registered. As a result, 69.40% of the maximum capital increase has been subscribed, in an aggregate amount of EUR 47,266,017 (including issue premium), represented by 94,532,034 new shares. As at the closing of the transaction, the participations of Sopal and a company acting jointly, and Sogepa will respectively amount to 14.34% and 51.21% of Hamon's registered capital. The three out of the six banks participating to the Senior Credit and which have committed to subscribe to the capital increase will hold, for their part, together 14.81% of Hamon's registered capital at the closing.

The net proceed of one scrip placement being lower than 0,01 EUR, no amount will be distributed to holders of rights that have not been exercised during the subscription period, as announced in the prospectus.

The issuance of the new shares, their delivery and their admission to trading on the regulated market Euronext Brussels will take place on or around Friday, 16 February 2018.
