Hamon & Cie : International) capital increase – Proposal to amend the proposal decision of the General Shareholders’ Meeting of Dec.16, 2016

Sopal International SA (majority shareholder of Hamon & Cie ("Hamon")) and Sogepa (the company through which the Walloon Region, second largest shareholder of Hamon, has invested and is managing its participation in Hamon), informed the board of directors of the Company that, taking into account the evolution of the Hamon share price and for the benefit of the Company, in order to attract the largest possible number of investors, they will vote in favor of a capital increase at tomorrow's General Shareholders' Meeting, at a subscription price per share of EUR 3.615 instead of EUR 3.8123 as previously communicated on 7 November 2016.

This price represents a 3.0% discount compared to the average closing price of the last 30 days preceding 15 December 2016 (15 November till 14 December 2016) and a 6.1% discount compared to the Hamon share closing price of 15 December 2016.

This new subscription price will have an impact on (i) the exchange ratio that will become 4 preferential subscription rights for 5 new shares instead of 5 subscription rights for 6 new shares, (ii) the minimum number of new shares which will be 10.428.769 instead of 9.889.044, (iii) the maximum number of new shares which will be 13.557.241 instead of 13.014.953 and (iv) the maximum subscription amount which will be EUR 49.009.426,22 instead of EUR 49.616.904.

Those amendment proposals will be submitted to the approval of the General Shareholders' Meeting of Hamon & Cie which will take place at the company's headquarters this Friday 16 December 2016 at 3 pm.
