The board of directors (the "Board") of Hanergy Thin Film Power Group Limited (the "Company") proposes to amend the bye-laws of the Company (the "Bye-laws") to provide for the rights of HKSCC Nominees Limited (or any successor thereto) to appoint multiple proxies.

The amendments to the Bye-laws are subject to the passing of a special resolution by the shareholders of the Company (the "Shareholders") at the forthcoming annual general meeting of the Company to be held on Thursday, 8 June 2017 (the "AGM").

A special resolution will be proposed at the AGM for the Shareholders to consider, and if thought fit, pass for approving the amendments to the Bye-laws. A circular containing, among other matters, details of the proposed amendments to the Bye-laws together with the full text of the special resolution as set out in the notice of the AGM will be despatched to the shareholders of the Company on 26 April 2017.
