Hexatronic tecknar avtal om förvärv av Ericssons fiberkabel- och duktverksamhet på Nya Zeeland

Hexatronic Group AB (publ) ("Hexatronic") har den 24 maj 2016 ingått ett avtal om förvärv av Ericssons fiberkabel- och duktverksamhet i Wellington, Nya Zeeland. Hexatronic erbjuder samtliga Ericssonanställda anställning för att driva verksamheten. Köpeskillingen uppgår till cirka 30 MSEK och finansieras genom nyttjande av förvärvskredit.

Verksamheten

Hexatronic har för avsikt att långsiktigt driva och utveckla den befintliga fiberkabel- och duktverksamheten på Nya Zeeland. Förvärvet sker som en rörelseöverlåtelse och det nya bolaget kommer att heta Hexatronic New Zealand Ltd.

Hexatronic erbjuder samtliga anställda fortsatt anställning. Bolaget hyr en fabrikslokal där den egna dukt- produktion sker i fem produktionslinjer samt lager och kontor avseende försäljning av fiberkabel och fiberoptiska komponenter. John Witkowski, idag ansvarig för fiber- och duktverksamheten i Ericsson på Nya Zeeland, kommer att fortsätta som VD för Hexatronic New Zealand Ltd.

Hexatronic är idag den största leverantören av ABF-system inklusive fiberkabel till Ericsson på Nya Zeeland. Effekten av förvärvet på Hexatronic Group ABs konsoliderade årliga försäljning förväntas bli ca 60 MSEK med en EBITDA-marginal i nivå med Hexatronics finansiella mål. Ericssons lokala kabelverksamhet etablerades på Nya Zeeland år 2013 för att utgöra en stark leverantör till FTTH-marknaden och framförallt till den största FTTH-aktören på Nya Zeeland. Hexatronic tar över befintliga kundavtal från Ericsson och har även avtalat om en förlängning av det mest väsentliga kundavtalet som står för en mycket stor del av verksamhetens intäkter. Verksamheten kommer efter förvärvet att drivas som ett självständigt bolag inom Hexatronickoncernen, med fullt ansvar för hela värdekedjan från försäljning till leverans och eftermarknad.

Transaktionen förväntas avslutas i början av juli 2016.

Köpeskilling och finansiering

Köpeskillingen uppgår till ca 30 MSEK och omfattar samtliga maskiner och inventarier, samt kurant varulager. Köpeskillingen skall erläggas sex månader efter förvärvet. Förvärvet finansieras med nyttjande av del av avtalad förvärvsram från Nordea.

Hexatronic signs an agreement for the acquisition of Ericsson´s fiber cable and duct business in New Zealand Hexatronic Group AB (publ) ("Hexatronic") has on the 24th of May 2016 entered into an agreement to acquire the Ericsson fiber cable and duct business in Wellington, New Zealand. Hexatronic offers all Ericsson employees a job to continue running the business. The purchase price amounts to approximately 30 MSEK and is funded through the use of acquisition credit.

The operation in New Zealand

Hexatronic intends to operate and develop the existing fiber cable and duct business in New Zealand on a long-term basis. The acquisition takes place as a transfer of business and the new company will be named Hexatronic New Zealand Ltd.

Hexatronic offers all employees continued employment. The company rents a factory building where duct production takes place on five production lines, as well as a warehouse and sales offices for fiber and fiber optic components. John Witkowski, who is currently responsible for the fiber and cable operation of Ericsson in New Zealand, will continue in his position as president of Hexatronic New Zealand Ltd.

Hexatronic is currently the largest supplier of ABF systems including fiber cable to Ericsson, New Zeeland. The effect of the acquisition on Hexatronic Group's consolidated annual sales is expected to be approximately 60 MSEK with an EBITDA margin in line with Hexatronic's financial goals. Ericsson's local cable production was established in New Zealand in 2013 to be a strong supplier for the New Zealand FTTH market and primarily the largest FTTH operator in New Zealand. Hexatronic takes over the existing customer accounts from Ericsson and has also secured an extension of the most significant customer agreement representing a very large part of the company's revenue. After the acquisition the company will be operated as an independent company within the Hexatronic Group with full responsibility for the entire chain, from sales to delivery and after sales.

Closing of the transaction is expected early July, 2016.

Purchase price and financing

The purchase price amounts to approximately 30 MSEK and includes all machinery, equipment and the current stock inventory. The purchase price will be paid six months after the acquisition. The acquisition was financed using part of an agreed acquisition framework from Nordea.
