Highlight Communications : Registration ban against the capital increase of Highlight Communications AG lifted

In a ruling received today the Cantonal Court of Basel-Landschaft, as Court of Appeal, lifted the registration ban against the capital increase of Highlight Communications AG ("HLC") announced on 12. June 2017 and instructed the Commercial Register to promptly carry out the registration. The ruling of the Cantonal Court, which upheld the decision of the court of first instance in its entirety, is immediately enforceable. Constantin Medien AG ("CMAG") had applied for the registration ban. CMAG stated that it would not file further legal remedies against the decision of the Cantonal Court.

With the capital increase of HLC, which will be registered in the next few days, 15.75 million shares will be issued utilising the authorised capital of the company and the share capital of HLC will be increased to CHF 63,000,000. After the share issue the shares will be entirely placed with Highlight Event and Entertainment AG by the underwriting bank, which thereby will acquire a shareholding of 25% in Highlight Communications AG. As a result of the capital increase HLC will generate revenues of around EUR 81.9 million.

CMAG stated that it would end all legal disputes with HLC and made respective procedural declarations. HLC will reverse the measures resolved upon to defend itself from hostile takeovers, in particular the two independent trusts that, in accordance with the original plan, were to be given the option to acquire the majority of ordinary shares of the TEAM-Group and of Constantin Film AG.
