The Board is pleased to announce that the resolution as set out in the notice of the SGM dated 20 September 2016 was duly passed by way of poll at the SGM held on 6 October 2016. All the conditions precedent to the Share Consolidation have been fulfilled and the Share Consolidation will become effective on Friday, 7 October 2016. Dealings in the Consolidated Shares will commence at 9:00 a.m. on Friday, 7 October 2016.

Reference is made to the circular (the "Circular") of HKC (Holdings) Limited (the "Company") and the notice of the special general meeting (the "SGM") of the Company dated 20 September 2016. Unless otherwise defined, capitalized terms used herein shall have the same meanings as those defined in the Circular.

The Board is pleased to announce that the resolution as set out in the notice of the SGM dated 20 September 2016 was duly passed by way of poll at the SGM held on 6 October 2016.

As at the date of the SGM, the issued share capital of the Company was 13,220,856,163 shares of HK$0.01 each (the "Shares"), being the total number of Shares entitling the Shareholders to attend and vote for or against the resolution proposed at the SGM. There were no Shares entitling the Shareholders to attend and abstain from voting in favour of the resolution pursuant to Rule 13.40 of the Listing Rules. There were no Shareholders that are required under the Listing Rules to abstain from voting.

Computershare Hong Kong Investor Services Limited, the Company's branch share registrar in Hong Kong, was appointed as the scrutineer at the SGM for the purpose of vote-taking.

Note: The full text of the ordinary resolution was set out in the notice of the SGM.

As more than 50% of the votes were cast in favour of the above resolution, the resolution was duly passed as an ordinary resolution of the Company by Shareholders at the SGM.

The Board is also pleased to announce that all the conditions precedent to the Share Consolidation have been fulfilled and the Share Consolidation will become effective on Friday, 7 October 2016. Dealings in the Consolidated Shares will commence at 9:00 a.m. on Friday, 7 October 2016. Please refer to the Circular for further details including the trading arrangement, the exchange of share certificates and matching services for odd lots in connection with the Share Consolidation. Shareholders should note that upon the Share Consolidation becoming effective, the colour of the share certificates of the Company will be changed from blue to maroon.
