NOTICE TO SHAREHOLDERS

HYPERMARCAS S.A. ("Hypermarcas" or "Company"), in compliance with the provisions of Article 133 of Law No. 6,404, as of December 15, 1976, as amended and currently in force, of Articles 9, 10, 11, 12 and 13 of CVM Rule No. 481/2009, as amended and currently in force, and of Article 21, 25 and 30 of CVM Rule No. 480/2009, as amended and currently in force, hereby informs Messrs. Shareholders that the documents and information related to the matters included in the agenda of the Company's Shareholders' Ordinary and Extraordinary Meeting to be held on April 19, 2017, at 10:00 a.m., are available for the Shareholders at the registered offices of the Company, as well as in the websites of the Brazilian Securities and Exchange Commission (Comissão de Valores Mobiliários) (www.cvm.gov.br), of BM&F Bovespa

S.A. - Bolsa de Valores, Mercadoria e Futuros (www.bmfbovespa.com.br) and of the Company (www.hypermarcas.com.br/ir), as from the date hereof and pursuant to the applicable laws.

We also inform that publication of the Management Report, the Financial Statements and respective Explanatory Notes together with the Opinion of KPMG Auditores Independentes (Auditors) and other necessary information and documents were published at the "Valor Econômico" newspaper, in the São Paulo and Rio de Janeiro editions, on February 21, 2017 and at the Official Gazette of the State of São Paulo on February 22, 2017, and the first publication of the Call Notice of the Shareholders' Ordinary and Extraordinary Meeting will be published at the Official Gazette of the State of São Paulo and at the "Valor Econômico" newspaper, in the São Paulo and Rio de Janeiro editions, on March 9, 2017, pursuant to the applicable laws.
