Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members International Game Technology (NYSE: IGT), breached their fiduciary duties in connection with the proposed $4.7 billion sale of the company to GTECH S.p.A.

International Game Technology (IGT), a gaming company, designs, develops, manufactures, and markets casino-style gaming equipment, systems technology, and game content for land-based and online markets worldwide.

On July 16, 2014, IGT and GTECH entered into an agreement whereby GTECH will acquire IGT. Under the terms of the transaction, IGT and GTECH will combine under a newly formed holding company organized in the United Kingdom (NewCo). IGT shareholders will receive $13.69 in cash plus 0.1819 ordinary shares of NewCo for each share of IGT common stock they own; representing an implied price of $18.25 in cash and stock.

The investigation concerns whether IGT’s board failed to satisfy their duties to the company’s shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for the Company’s shares of common stock. In particular, the $18.25 per share deal value is well below the Company’s 52-week high. In addition, at least one industry analyst has established a $19.00 per share target on the stock.
