(BM&FBovespa: MEAL3) ("IMC") hereby announces that the Extraordinary Shareholders' Meeting of July 17, 2015 elected Patrice Philippe Nogueira Baptista Etlin as Chairman of the Board of Directors and Dilson Batista dos Santos Filho as an independent member of the Board of Directors, positions previously held by Messrs. Juan Carlos Torres Carretero and Humberto Eustáquio César Mota, respectively, who presented their letters of resignation on June
26, 2015.
Patrice Etlin, aged 51, has a degree in Electronic Engineering from the University of São Paulo, an MBA from INSEAD and a master's degree in Industrial Engineering from the École Centrale de Paris. In 1997, he joined Advent in São Paulo, initiating that company's operations in Brazil. Between 1994 and 1997, he was a founding partner of International Venture Partners in São Paulo, being responsible for managing a media and telecom investment fund. Prior to this, he worked at Matra Marconi Space for five years, initially as a systems engineer in a project to develop a European military observation satellite. In 1990, he was promoted to overall Brazilian representative, responsible for implanting a private telecommunications satellite to provide services for the Mercosur countries. He is also Chairman of the Board of the Latin American Private Equity & Venture Capital Association (LAVCA).
He is currently a member of the Board of Directors of Allied S.A., Lojas Quero-Quero, and Terminal de Contêineres de Paranaguá (TCP) and has also been a Board member of Grupo Atmosfera, Atrium Telecomunicações, CSU Cardsystem, International Meal Company (IMC) and Kroton Educacional.
Dilson Santos has a degree in Textile Technology, with a post-graduate diploma in Marketing, and has 30 years of experience in the retail market. He began his career with the textile manufacturers Karibe and São Paulo Alpargatas. Subsequently, he spent
20 years with C&A Modas, a multinational retail chain focusing on women's, men's and children's apparel and footwear, where he was Commercial Officer. In 2008 he moved to Lojas Pernambucanas, where he was Chief Commercial Officer and CEO until 2010.
In December 2010, he founded Cadil Empreendimentos Imobiliários, a construction company geared towards the C and D income groups in São Paulo.
We believe the new Board members will make an invaluable contribution to the
Company, enabling us to proceed with our growth and consolidation trajectory.
