(BM&FBOVESPA: MEAL3), pursuant to Article 157, paragraph 4 of Law 6,404 / 76 and CVM Instruction 358/02, informs its shareholders and the market in general that the Board of Directors at a meeting held on January 5, 2016, deliberated and approved the sale of its Porto Rican subsidiary AIRPORT SHOPPES CORP, and its subsidiaries, CARGO SERVICE CORPORATION, AIRPORT AVIATION SERVICE INC., CAROLINA CATERING CORP., AIRPORT CATERING SERVICE CORPORATION and AEROPARQUE CORPORATION, located in Puerto Rico and INTERNATIONAL MEAL COMPANY DR S.R.L. and INVERSIONES LLERS S.A., both
located in the Dominican Republic.
The subsidiaries were sold to MANAGEMENT GROUP INVESTOR, LLC. ("Buyer") at a price ("Enterprise Value") equal to US$ 49,297,798.00 (forty nine million, two hundred ninety- seven thousand, seven hundred ninety-eight US dollars), subject to possible adjustments between signing and closing.
From this amount, we will deduct, among others things, the debts of these subsidiaries, calculated at approximately US$ 37,895,000.00 (thirty-seven million, eight hundred and ninety-five thousand US dollars) as of November 30rd, 2015.
The estimated impact of the transaction on the Company's net debt is of approximately US$ 44,000,000.00 (forty-four million US dollars), subject to possible adjustments between signing and closing.
The transaction is subject to a corporate restructuring in order to transfer the Panama and Colombia subsidiaries, held today by Airport Shoppes Corp., as well as the notifications to government agencies and commercial partners, all planned to take place during the first quarter 2016.
This asset sale is in accordance with the Company's objectives of simplifying its structure and reducing its financial leverage.
