MEAL3), pursuant to article 157, paragraph 4 of Law 6,404/76 and CVM Instruction 358/02 and in addition to the Material Fact dated November 23, 2015, hereby informs its shareholders and the market in general that today it has completed the sale of its entire direct and indirect interest in the Company's subsidiaries in Mexico.
The sale included the companies Inversionistas en Restaurantes de Carnes y Cortes, S. de
R.L. de C.V., Grupo Restaurantero del Centro, S.A. de C.V., Servicios de Personal Gastrónomico IMC S. de R.L. de C.V. and Servicios Administrativos IMC S. de R.L. de C.V., totaling 51 stores in Mexican territory.
These interests were sold to Taco Holding, S.A.P.I de C.V. and Distribuidora de Alimentos TH, S.A. de C.V. ("Buyers") for MX$991,862,311, equivalent to 9.35 times the adjusted EBITDA of these subsidiaries in 2015.
The impact of this operation on the Company's net debt is approximately MX$795 million. This amount is divided as follows: (i) MX$215 million in debt reduction related to these subsidiaries; and (ii) a net cash inflow of approximately MX$580 million, after taxes, guarantees and costs related to the operation.The transaction has also been approved by the Mexican regulatory agency Comisión Federal de Competencia Económica - COFECE, with no additional conditions.
This asset sale is in line with the Company's objectives of simplifying its structure and reducing its financial leverage.
