MATERIAL FACT INTERNATIONAL MEAL COMPANY HOLDINGS S.A. (BM&FBovespa: IMCH3) ("Company"), pursuant to article 157, paragraph 4 of Law 6404, of December 15, 1976, Instruction 358 of the Brazilian Securities and Exchange Commission ("CVM"), of January 3, 2002 ("ICVM358"), and Official Letter BM&FBOVESPA S.A./GAE 1.942-13 ("Official Letter"), hereby informs its shareholders and the market in general that:

On this date, through its subsidiary RA Catering, it has signed a contract with the new concessionaires of the Guarulhos, Brasília and Viracopos airports to expand its operations in these locations and extend the term of the currently existing contracts.
"We are extremely happy to have expanded our presence in these newly-privatized airports in Brazil. This shows our commitment to increase our investments in Brazil, particularly in the airport segment, where, as we have said, the Company will focus its attention during these next few years," said IMC CEO Javier Gavilán.
"The coming sporting events, coupled with the new infrastructure that's being developed in the country, will bring unique opportunities to consolidate and increase our leadership in the Brazilian market," added Enric Besalduch, Country Manager of IMC Brasil.
The contract signed with GRU Airport, the operator of Guarulhos International Airport, will extend the terms for all of our current shops in terminals 1 and 2 for an additional 10 years. In addition, on this same date, the Company signed a contract that will give it the right to install another two additional stores in the same terminals, which will mainly serve the domestic flights at that airport.
The Company is also negotiating with GRU Airport in order to obtain a significant position in the Airport's new terminal 3, which is expected to open prior to the 2014 World Cup.
The contract with Inframerica provides for the opening and operation of 11 new food shops at the International Airport of Brasília. The new contract will remain in effect until 2021. In addition, on the same date, the Company reached an agreement on the contract to extend its air catering services at that airport, at least, until 2021.
"This is the second time in my career that I have signed a partnership with our friends at Inframerica and I'm sure that the International Airport of Brasília will bring excellent results for both companies in the coming years. We hope that this partnership will last for a long time to come," said Gavilán.
The contract with Consórcio Brasil Viracopos will increase the term of the air catering services for an additional ten years, as of this date.
The Company is also in negotiations with Consórcio Brasil Viracopos to increase its presence through the installation of new stores in the Viracopos airport.
The new contracts will include an upfront payment and they will charge a minimum rent plus a percentage of the sales for each store. Given the strategic nature of these transactions, we reserve the right to abstain from disclosing the amounts involved.
The amounts involved do not represent a significant investment, pursuant to article 247, sole paragraph of Law 6404/76, which is why they were not subject to approval by a Shareholders' Meeting.
