INTERNATIONAL MEAL COMPANY ALIMENTAÇÃO S.A. ("Company"), formerly RA Catering Ltda., announces that the Extraordinary Shareholders' Meeting of December 1, 2014 approved the merger of INTERNATIONAL MEAL COMPANY HOLDINGS S.A., traded on the BM&FBOVESPA under the trade name IMC HOLDINGS and the ticker IMCH3 ("IMC Holdings"). In complement to the notice to the market disclosed on March 23, 2015, the Company announces that March
30, 2015 will be the last trading day of IMC HOLDINGS shares and that, as of March 31, 2015, the Company's shares will be traded on the BM&FBOVESPA's Novo Mercado segment under the trade name IMC S/A and the ticker MEAL3.
This change is the last stage of the corporate restructuring process approved by the
Extraordinary Shareholders' Meeting of December 1, 2014.
We reiterate that this change will not result in any change in the rights or interests of IMC Holdings' shareholders in the Company, as IMC Holdings' shareholders will be entitled to one (1) common share of the Company for each IMC Holdings share held by them.
Finally, we inform the market that, as a result of said restructuring operation, shareholders were granted withdrawal rights, under the terms of the Material Fact dated November 13,
2014, whose exercise term expired on January 2, 2015, with no requests to exercise this right having been made by any of our shareholders.
