Reference is made to stock exchange notices of 23 December 2014 and 2 June 2015, regarding the potential establishment of a copper-zinc venture in Norway together with North Atlantic Minerals Ltd (NAML). Intex and NAML have today agreed to extend the deadline for signing of the formal shareholders' agreement to 30 September 2015. Due to the expansion of the project by the introduction of additional licences with the potential for earlier project development, the funding requirement of the Newco has been increased. Funding completion by NAML is taking longer than originally anticipated. The extention has no cash flow implications for Intex. On 2 June 2015, NAML and Intex signed a transaction agreement for the establishment of a new mining company (Newco) for the Sør-Trøndelag district. Intex also secured an exclusivity agreement with Hessjøgruva AS, currently owned by Holtålen municipality in Norway, and who have retained claims to the three Hessjøgruve exploration and exploitation licences. This agreement shall be assigned to the Newco, and will allow Intex and NAML to perform a comprehensive and exclusive rights due diligence of the Hessjøgruve prospect by 1 December 2015. NAML has in addition secured new exploration licences in the Fjellsjø, Kongens-Rødalen, Lergruvbakken and Killingdal areas, which shall also be assigned to the Newco as part of the establishment of the copper-zinc venture. The joint venture to be established, shall commence re-estimation of the mineral resources stated by the Geological Survey of Norway, and carry out associated mining, metallurgical and environmental studies on exploration licences held by both NAML and Intex; as well as completing due diligence on the mining licences currently held by Hessjøgruva AS. NAML will acquire a majority interest in the joint venture via an earn-in agreement and will be the funding and exploration partner for the Newco, and consequently this new project carries currently no financial obligations for Intex.
