Kemper Corporation (NYSE: KMPR) today announced that Kemper and Infinity Property and Casualty Corporation (NASDAQ: IPCC) have received notice from the U.S. Federal Trade Commission granting early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), with respect to the pending transaction between the parties announced on February 13, 2018.

The termination of the waiting period under the HSR Act satisfies one of the conditions to the closing of the pending transaction, which remains subject to other closing conditions, including the approval of shareholders of Kemper and Infinity and the receipt of required insurance regulatory clearances and approvals. The transaction is expected to close in the third quarter of 2018.
