Komatsu : Notice of Change of Representative Directors' Positions

Please be advised that the Board of Directors of Komatsu Ltd. (hereinafter 'Komatsu') made a resolution concerning the change of representative directors' positions as follows in the Board meeting held today (February 12, 2016).
1. Reason(s) for the Change
Kunio Noji, currently Representative Director and Chairman of the Board, is going to resign from the position of Representative Director after servicing in the current position for 3 years (April 2013). Accordingly, the execution of management duties will be more centered on the President and other members of the Board, while he will be able to further strengthen the corporate governance of Komatsu as his duties will be more clearly defined as supervision of management execution. Along with this change concerning Kunio Noji, the Board of Directors resolved to appoint Mikio Fujitsuka, currently Director and Senior Executive Officer, as Executive Vice President and assign him to the position of Representative Director.
Tetsuji Ohashi, currently President and Chief Executive Officer, will continue to serve in the same position. As a result, Tetsuji Ohashi and Mikio Fujitsuka will both serve as Komatsu's representative directors.
