Capital increase resolved by the Board of Directors on January 31, 2018 arising from stock option plans
Kroton Educacional S.A. ("Kroton" or "Company") - (B3: KROT3; OTCQX: KROTY) - in accordance with Article 30 of Instruction 480/09 issued by the Securities and Exchange Commission of Brazil ("CVM Instruction 480), provides the information required in Annex 30-XXXII of CVM Instruction 480 in relation to the capital increase approved by the Board of Directors of the Company on January 31, 2018, arising from the exercise of options granted within the scope of the stock option plans of the Company, as follows:

Date of Shareholders' Meeting in which the stock option plan was approved:
The Stock Option Plan was approved by the Extraordinary Shareholders' Meeting held on July 3, 2014.

Amount of the capital increase and of the new capital stock:
The amount of the capital increase is of R$1,335,076.48 (one million, three hundred thirty-five thousand, seventy-six reais and forty-eight centavos).
As a result of the capital increase, the capital stock of the Company is now R$4,367,390,158.90 (four billion, three hundred seventy-six million, three hundred ninety thousand, one hundred fifty-eight reais and ninety centavos).
3. Number of shares issued:
In this capital increase, the Company issued 121,758 (one hundred twenty-one thousand, seven hundred fifty-eight) new book-entry common shares without par value.
4. Price of shares issued:

121,758 (one hundred twenty-one thousand, seven hundred fifty-eight) new common shares at the issue price of R$10.965 per share.
