Belo Horizonte, October 23, 2015 - Kroton Educacional S.A. (BM&FBovespa: KROT3) ('Company'), in accordance with Instruction 358/02 ('CVM Instruction 358'), as amended, issued by the Brazilian Securities and Exchange Commission ('CVM') hereby clarifies the contents of the news report published today in the Estado de São Paulo newspaper, entitled 'Kroton fecha a venda da Uniasselvi por R$ 1,1 bi' ('Kroton sells Uniasselvi for R$1.1 billion').
As is public knowledge, the sale of institutions that make up the Uniasselvi Group was one of the conditions imposed by the Concentration Control Agreement (ACC) signed with Brazil's antitrust agency CADE (Conselho Administrativo de Defesa Econômica) on May 14, 2014, as part of the approval of the Association Agreement signed by Kroton and Anhanguera Educacional Participações S.A. As such, the Company has been seeking alternatives to divest this asset, though no agreement has been signed so far in this regard.
Kroton reaffirms its commitment to its obligations, as a public company listed on the Novo Mercado segment of the BM&FBOVESPA, and all and any material information will be disclosed in compliance with applicable laws in force.
