MATERIAL FACT
Belo Horizonte, May 12, 2016 - Kroton Educacional S.A. (BM&FBovespa: KROT3) ('Company'), in accordance with Instruction 358/02 ('CVM Instruction 358'), as amended, issued by the Brazilian Securities and Exchange Commission ('CVM') hereby informs its shareholders the financial guidance for 2016 ('Guidance'). The Guidance was based on premises established during the Company's budget management process.
