Capital increase resolved by the Board of Directors on December 28, 2017 arising from stock option plans
Kroton Educacional S.A. ("Kroton" or "Company") - (B3: KROT3; OTCQX: KROTY) - in accordance with Article 30 of Instruction 480/09 issued by the Securities and Exchange Commission of Brazil ("CVM Instruction 480), provides the information required in Annex 30-XXXII of CVM Instruction 480 in relation to the capital increase approved by the Board of Directors of the Company on December 28, 2017, arising from the exercise of options granted within the scope of the stock option plans of the Company, as follows:

Date of Shareholders' Meeting in which the stock option plan was approved:
The Stock Option Plans were approved by the Extraordinary Shareholders' Meetings held on (i) November 26, 2013; (ii) July 3, 2014; and (iii) September 18, 2015.
2.
Amount of the capital increase and of the new capital stock:
The amount of the capital increase is of R$2,887,639.03 (two million, eight hundred eighty-seven thousand, six hundred thirty-nine reais and three centavos).
As a result of the capital increase, the capital stock of the Company is now R$4,366,055,082.42 (four billion, three hundred sixty-six million, fifty-five thousand, eighty-two reais and forty-two centavos).
3. Number of shares issued:
In this capital increase, the Company issued 442,913 (four hundred forty-two thousand, nine hundred and thirteen) new book-entry common shares without par value.
4. Price of shares issued:
(i) 55,058 (fifty-five thousand and fifty-eight) new common shares at the issue price of R$5.816 per share;
(ii) 380,000 (three hundred and eighty thousand) new common shares at the issue price of R$6.573 per share; and
(iii) 7,855 (seven thousand, eight hundred fifty-five) new common shares at the issue price of R$8.871 per share.
