Macquarie Infrastructure Company LLC (the “Company” or “MIC”) (NYSE: MIC) announced today the pricing of an underwritten public offering of 5,312,500 LLC interests, or shares, at a price to the public of $80.00 per share. The size of the offering has been increased from 4,375,000 shares to 5,312,500 shares.

The Company has granted the underwriters a 30-day option to purchase up to an additional 796,875 to cover over-allotments, if any. The offering is being made under the Company’s existing shelf registration statement filed with the Securities and Exchange Commission on April 8, 2013, as amended, and is expected to close on March 2, 2015, subject to satisfaction of customary closing conditions.

The Company expects to use the net proceeds from the primary offering of 5,312,500 shares to finance the cash consideration for the acquisition of the assets of Bayonne Energy Center and for general corporate purposes. The Company expects the acquisition to close in the first half of 2015, subject to regulatory approval and satisfaction of customary conditions precedent.
