Extraordinary General Meeting 15 December 2017: approval for modification to the Article of Association

The Extraordinary General Meeting of the Shareholders resolved to modify Article 17 of the Articles of Association (regarding the number of members of the Board of Directors in a range between 7 and 15, introducing the possibility for the Board to present its own list of candidates and reforming the way in which nominations are made by the Board of directors by means of the so-called 'blocked list' system, rather than the quotient system).

The Extraordinary General Meeting of the Shareholders also resolved to add to the Articles of Association Article 8-bis (the identification of shareholders) and approved changes to Articles 19 (method of calling of meetings of the Board of Directors)), 21 (Chairman's casting vote in Board meetings), 22 (termination of the majority of the Board of Directors), 24 (nomination of the Executive Committee) and 28 (Board of Statutory Auditors).

For more detailed information, please refer to the proposals approved by the Board of Directors on 10 November 2017, illustrated in specifically reports apposite prepared by the Board, pursuant to Art. 125-ter of the Single Finance Act (TUF) and Articles 72 and 84-ter, as well as Annex 3A, Schema 3, of the Regulations adopted by Consob resolution n. 11971 of 14 May 1999.

All of these documents are available at the Company's corporate headquarters and on the website www.mediaset.it. The new text of the Articles of Association will be made available on the corporate website within the terms laid down by current legislation.
