André Coutier, Chairman of the Executive Board and founder of MGI Coutier - the Group he has managed since 1972 - has changed the governance with a view to organising the future of the family-owned business.
In this context, the holding company Coutier Junior, which holds, directly and indirectly, 69.53% of MGI Coutier SA, will take on a greater role to become the active holding company of MGI Coutier and will henceforth be named Coutier Développement.
Coutier Développement, an active holding company with an Executive Board and a Supervisory Board, will determine MGI Coutier SA's strategic direction, based on the Strategy Committee's reflection and discussion, and will ensure its implementation.
Roger Coutier, formerly Chairman of the Supervisory Board of MGI Coutier SA, has been appointed as Chairman of the Supervisory Board of Coutier Développement. The other Supervisory Board members are Emilie Coutier, Jean-Claude Sève and Bertrand Millet.
André Coutier will take over as Chairman of the Executive Board. The other Executive Board
members are Christophe Coutier, Nicolas Coutier, Benoît Coutier and Matthieu Coutier.
The Strategy Committee is comprised of André Coutier, Jean-Louis Thomasset, Jean-François Villaneau, Geneviève Coutier, Christophe Coutier, Nicolas Coutier, Benoît Coutier, Matthieu Coutier, Paul Deguerry, Jean Claude Sève, Bertrand Millet and Nicolas Job.
MGI Coutier SA's governance will remain unchanged; it will retain its Executive Board and Supervisory Board.
André Coutier will replace Roger Coutier as Chairman of the Supervisory Board. The other Supervisory Board members are Christophe Coutier (permanent representative of Coutier Développement), Geneviève Coutier, Paul Deguerry and Nicolas Job.
Matthieu Coutier will replace André Coutier as Chairman of the Executive Board. The other members of the Executive Board are Jean-Louis Thomasset (Vice-Chairman) Jean-François Villaneau, Nicolas Coutier and Benoît Coutier.
André Coutier said, "Now that I have been relieved of the day-to-day operational responsibilities of MGI Coutier, I will concentrate on strategy and will contribute my experience and expertise in industrial strategy and innovation. My son, Matthieu Coutier, knows the company thoroughly after having spent eight years in the Sales and Marketing department and five years with us on MGI Coutier SA's Executive Board. I have every confidence in his ability to develop the Group and pursue its internationalisation."
From the choices proposed by regulatory authorities, MGI Coutier has opted for the MiddleNext corporate governance code.
