2.2. Contents of decisions taken by the Board of Directors of the Issuer:

ISSUE No. 1: On determination of priority areas of the Company's activities: on the Company implementing measures for treasury function centralization and automation.

Decision:

1. Determine the Company implementing measures for treasury function centralization and automation as a priority area of the Company's activities.

2. Approve of the 'Schedule plan for implementation of the project for treasury function centralization and automation' (hereinafter referred to as the 'Schedule Plan') in accordance to Appendix No. 1 to this decision of the Board of Directors of the Company.

3. Instruct the Sole Executive Body of the Company to ensure timely implementation of the measures stipulated by the Schedule Plan.

ISSUE No. 2: On approval of the methodology for calculation and evaluation of achievement of Key Performance Indicators of General Director of the Company.

Decision:

Approve of the methodology for calculation and evaluation of achievement of Key Performance Indicators of General Director of the Company (hereinafter referred to as the 'Methodology') in accordance with Appendix No. 2 to this decision of the Board of Directors of the Company. Determine the Methodology effective date - since 01.01.2015.

ISSUE No. 3: On introduction of amendments to in-house document of the Company: Regulations on Material Incentives for General Director of the Company.

Decision:

Introduce amendments to the Regulations on Material Incentives for General Director of the Company (hereinafter referred to as the 'Regulations')approved by decision of the Board of Directors dated 15.06.2011 (Minutes No. 79/19) in accordance to Appendix No. 3 to this decision of the Board of Directors of the Company. Determine the Regulation effective date - since 01.01.2015.

ISSUE No. 4: On consideration of the draft Investment Program of the Company for 2015 and the period of 2016-2020.

Decision:

Postpone this issue consideration.

ISSUE No. 5: On agreement on candidacies for specific positions with the executive staff as determined by the Board of Directors of the Company.

Decision:

Agree on the candidacy of Vladimir Sergeyevich Gusev to occupy the position of Deputy General Director for Security of IDGC of the North-West, JSC.
