ISSUE NO. 1: On approval of the Work Plan of the Board of Directors of the Company for the corporate year 2017-2018.

Decision:

Approve the Work Plan of the Board of Directors of IDGC of the North-West, PJSC for the corporate year 2017-2018 in accordance with Appendix No. 1 to this decision of the Board of Directors of the Company.

ISSUE No. 2: On rewarding the General Director of IDGC of the North-West, PJSC for completion of a particularly important mission.

Decision:

Pursuant to Clause 4.1, 4.3.5. of the Regulations on Material Incentives for General Director of IDGC of the North-West, PJSC pay a lumpsum bonus to A.V. Letyagin, General Director of the Company, in accordance with Appendix No. 2 hereto for organizing activities resulting in high financial sustainability of IDGC of the North-West, PJSC in 2016.

Decision taken.

ISSUE No. 3: On determination of the attitude of the Company's representatives concerning issues on agendas of general meetings of shareholders and sessions of Boards of Directors of subsidiary companies of IDGC of the North-West, PJSC.

Decision:

Instruct representatives of IDGC of the North-West, PJSC to vote FOR the following decision to be taken at the session of the Board of Directors of Pskovenergosbyt, JSC on agenda issue "On re-election of General Director of Pskovenergosbyt, JSC":

"Re-elect Olga Veniaminovna Smirnova as General Director of Pskovenergosbyt, JSC, for the term in office from 08.09.2017 till 07.09.2020 inclusive".
