NEXITY | STRATEGIC PARTNERSHIP BETWEEN NEXITY AND AEGIDE-DOMITYS - NEXITY RAISES ITS STAKE IN THE SHARE CAPITAL OF AEGIDE FROM 45.15% TO 63.15% |

Nexity today exercised a purchase option enabling it to acquire within the next few days - subject to finalising documentation - an additional 18% stake in the share capital of Aegide SA, the parent company of the Aegide-Domitys group, from its founders (via JMF Conseil). Its stake will therefore be raised from 45.15% to 63.15%, with JMF Conseil holding 36.85%. Aegide-Domitys will thus be fully consolidated in Nexity's accounts.
Founded some twenty years ago by Jean-Marie Fournet, Frédéric Walther and Didier Jaloux, the Aegide-Domitys group is France's leading provider of senior independent living facilities. The Aegide-Domitys group currently manages nearly 80 serviced senior residences. It had consolidated revenue of around €345 million in 2017, and has more than 2,300 employees.
The acquisition of this additional equity stake follows on from the October 2016 agreements between the founders of Aegide-Domitys and Nexity, and falls within the broader scope of a strategic partnership that aims to provide Aegide-Domitys with the financial resources necessary to achieve its ambitions and consolidate its growth prospects, while enabling Nexity - as an integrated real estate services operator - to add a new business line to its offering, focused on developing and managing serviced senior residences and services for senior citizens.
Details concerning the goals of this strategic partnership and the impact of this transaction on Nexity's financial statements and guidance will be provided at Nexity's Investor Day on 19 June 2018.
