The Board of Directors of O2 Czech Republic has decided to transfer its Professional Services division into its subsidiary O2 IT Services and approved price range for share buy-back

The Board of Directors of O2 Czech Republic a.s. has decided to transfer the Professional Services division into its wholly owned subsidiary O2 IT Services s.r.o. by contribution of a part of the enterprise. The contribution of part of the enterprise is subject to approval by the General Meeting. The Professional Services division deals particularly with designing and creating customized solutions in the field of information and communication technologies (IT, ICT). The activities of this division comprise also the performance of significant public contracts in the field of IT and ICT. If the company's General Meeting approves the contribution of a part of the enterprise, all activities of the Professional Services division (including the performance of the public contracts) will be performed by the subsidiary O2 IT Services from the beginning of January 2016.


On October 19, 2015 O2 Czech Republic a.s. announced the intention of the Board of Directors to relaunch the share buy-back in January 2016 for up to 5 years, in total amount of up to CZK 8 billion or up to 10% of the total number of the ordinary shares. On October 27, 2015, the Board of Directors approved the proposal, according to which the company could acquire the shares for a maximum price of CZK 297. In line with legal requirements, the Board of Directors set also the minimal price, which is at shares nominal value level, i.e. CZK 10. The share buy-back execution is subject to approval by the General Meeting.

In this context the Board of Directors decided to convene the General Meeting to be held on 8 December 2015. The General Meeting shall among other items vote on these proposals.
