(NYSE: OMC), together with its wholly owned direct finance subsidiary, Omnicom Capital Inc., today announced that they have issued a notice of redemption for any and all of their $84,000 aggregate principal amount of outstanding Zero Coupon Zero Yield Convertible Notes due 2033 (CUSIP No. 681919 AR7) and $406,622,000 aggregate principal amount of outstanding Zero Coupon Zero Yield Convertible Notes due 2038 (CUSIP Nos. 681919 AT3 and 682134 AA9) (collectively, the "Notes"). The redemption date is June 17, 2013, and the redemption price is 100% of the principal amount. In addition, holders of Notes trading under CUSIP Nos. 681919 AR7 and 681919 AT3 that are redeemed may be entitled to one day of contingent cash interest (or an additional $0.033 per $1,000 principal amount of Notes) payable in connection with the redemption if the Notes trade above certain thresholds as specified in the indenture governing the Notes (the "Indenture") and in the Notes. Holders of Notes trading under CUSIP No. 681919 AA9 previously waived their right to such contingent cash interest by consenting to an amendment to the Indenture, which became effective on June 21, 2010. As provided in paragraph 9 of the Notes, the Notes may be converted at any time before the close of business on June 13, 2013 at a conversion rate of 19.4174 shares of OGI's common stock (CUSIP No. 681919106), par value $.15 per share ("OGI Common Stock"), which trades on the New York Stock Exchange under the symbol "OMC," per $1,000 issue price of Notes. Holders who want to convert Notes must satisfy the requirements set forth in paragraph 9 of the Notes. Omnicom Group Inc. will pay the principal amount due upon conversion in cash and has irrevocably elected to satisfy any premium due with shares of OGI Common Stock, with any fractional shares payable in cash.
