Pursuant to article 56(1.1) of the Law of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies (Journal of Laws of 2005, No. 184, item 1539, as amended), the Management Board of Orange Polska S.A. ("Orange Polska", "the Company") hereby informs about the receipt of decisions of the President of the Office of Electronic Communication ("UKE").

Changes in regulations concerning Orange Polska

On April 30, 2015, Orange Polska received decisions of the President of UKE, issued after the review of the retail markets of national and international telephone services provided at a fixed location for residential and non-residential consumers (i.e. markets 3 to 6 according to the European Commission's Recommendation of 2003), issued decisions recognising effective competition on these markets and lifting the existing regulatory obligations of Orange Polska.

Pursuant to the President of UKE's decisions, as from the date of their delivery to Orange Polska, i.e. as from April 30, 2015, Orange Polska is no longer subject to regulation with respect to the provision of national and international telephone services provided at a fixed location for residential and non-residential consumers and no longer has any regulatory obligations in this respect, particularly related to pricing. Thus, as from April 30, 2015, Orange Polska can provide national and international telephone services on commercial terms, like other non-regulated service providers do.

Orange Polska will still be subject to regulation on the markets of retail access to the public telephone network at fixed location to residential and non-residential customers (i.e. markets 1 and 2 according to the European Commission's Recommendation of 2003), particularly with respect to price control. Furthermore, the wholesale markets for provision of telephone services at a fixed location, that is markets for call origination and termination in Orange Polska's network (i.e. markets 2 and 3 according to the European Commission's Recommendation of 2007), are also regulated.

Commenting on the regulator's decisions, Bruno Duthoit, CEO of Orange Polska, said: "Orange Polska positively assesses the deregulation of the markets 3/2003 to 6/2003. In the market, there are several dozen of players, including several nationwide operators. The regulatory decisions currently in force were issued almost 8 years ago. Hence, their verification in a rapidly changing market is both appropriate and desirable. In this context, the President of UKE's resolutions, which adapt the scope of regulation to the current market situation, should be considered as necessary for the development of the Polish telecom market."
