Total number of shares and voting rights

Articles L. 233-8 (II) of the French Commercial Code and

223-16 of Autorité des marchés financiers General Regulations

The shareholders are informed that as at 30 June 2014, the information pertaining to the total number of shares and voting rights provided by article L. 233-8 (II) of the French Commercial Code (Code de commerce) and article 223-16 of the Autorité des marchés financiers General Regulations are as
follows:

1. The total number of theoretical voting rights includes voting rights attached to shares that are deprived of the capacity to exercise the voting rights attached to them pursuant to applicable legal or regulatory provisions. The shares concerned are treasury shares and controlling shares. Pursuant to applicable legal and regulatory provisions, the crossing upwards of voting rights thresholds provided for by law or by the articles of association must be calculated based on the total number of theoretical voting rights, as rendered public by Paris Orléans every month.

It is hereby specified that between 31 May 2014 and 30 June 2014, the second anniversary of the Paris Orléans group's reorganisation resulted in the acquisition of double voting rights mainly attached to the newly created shares issued in remuneration of the contributions of shares of Rothschild & Cie Banque SCS, Financière Rabelais SAS and Rothschilds Continuation Holdings AG, as approved by the combined General Meeting of shareholders on 8 June 2012, and held in the form of registered shares, pursuant to the provisions of Paris Orléans SCA's Articles of Association, thereby creating new voting rights.
