Notification of transactions of Directors and PDMRs

Perform Group plc (the " Company " ) has been notified of the following transactions in ordinary shares of 2 7/9p penceeach in the Company ( " Shares " ).

1. Vesting of Shares under Awards

On 10 November 2014 the Company communicated to participants of the  Perform Group plc Performance Share Plan (the " Plan " ), including certain executive directors ( " Directors " ) and persons discharging managerial responsibilities ( " PDMRs " ) that conditional share awards ( " Awards " ) granted under the Plan to acquire Shares had vested on 20 October 2014 in connection with AI PG LLC ' s ( " Access ' s " ) cash offer for the Company ( " Offer " ), as set out in column 3 in the table below.

2. Acceptance of the Offer by Directors and PDMRs

On 14 November 2014 and 17 November 2014, Simon Denyer and Oliver Slipper each instructed the sale of 3,703,945 Shares and 2,103,945 Shares respectively to Access by acceptance of the Offer for the Offer price of 260p per Share. This includes the sale of all of the Shares resultant from the vesting of Awards as described at paragraph 1 above.

In addition, on 14 November 2014, Peter Williams, a Director and PDMR, and his wife, Geraldine Mary Williams, instructed the sale of 1,274 Shares and 2,726 Shares respectively to Access by acceptance of the Offer for the Offer price of 260p per Share.

3. Resultant Shareholdings

Following vesting of Awards (where applicable) and the sale of Shares described above, the Directors and PDMRs (and each of their related parties) hold the total number of Shares as set out in column 3 below:
