The Prelios Group: the Shareholders' Meeting is held

Milan, 13 June 2018- The Extraordinary and Ordinary Shareholders' Meeting of Prelios S.p.A.met today at the new registered office and HQ on via Valtellina 15/17.

The meeting on today's date follows the obligatory Public Purchase Offeron regular shares of Prelios as brought forth by Lavaredo S.p.A.;as has been disclosed to the market, as of 14 May the latter is the sole shareholder of Prelios S.p.A., and from the same date, Prelios shares have been removed from being listed on the MTA of the Italian Stock Exchange.

The extraordinary session of the Shareholders' Meeting adopted new company by-laws as a result of the revocation of the listing of ordinary shares.

The Ordinary Shareholders' Meeting approved the financial statements for 2017which, in summary, at a consolidatedlevel ended with revenues up 5% at 80.4 million euro (76.8 million in 2016) ); EBIT was up 72% to € 6.9 million (4.1 million in 2016); the net financial position on assets stood at 1.3 million euro (-6.5 million at 31 December 2016); the net result, net of the Investment component, was positive by + € 2.6 million compared to -11.1 million in 2016 (net loss of € 33.8 million, inclusive of the Investment component). In the 2017 financial year, the Parent Company Prelios S.p.A. recorded a net loss of 14.9 million euros, compared to a negative net result of 11.3 million euros in 2016.

Today, the Ordinary Shareholders' Meeting of Prelios S.p.A. also appointed the Board of Directors, determining that it will have 6 members. The term of office has been established as three financial years, up to the Shareholders' Meeting called to approve the financial statements for the year ended 31 December 2020.
