Voting Rights and Share Capital

Premier Farnell plc (the `Company') has two classes of shares admitted to
trading on a regulated market: ordinary shares of 5 pence each and preference
shares of 100 pence each.

As of 31 March 2015, the Company's issued share capital consists of:

  * 371,333,691 Ordinary Shares; and

  * 3,236,471 Convertible Preference Shares;

The Company does not hold any shares in treasury.

The number of voting rights in the Company is:

  * 371,333,691 in respect of the Ordinary Shares (one vote per share).

  * The preference shares do not carry voting rights but can be converted into
    ordinary shares of 5p each. The conversion rate is 2.06864 ordinary shares
    for each Convertible Preference Share. The voting rights attaching to these
    shares would therefore be 6,695,093 if they were to be converted.

Therefore, the total number of voting rights in the Company is 371,333,691.
This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or change to their interest in, the Company under the FCA's Disclosure and
Transparency Rules.
