Proximus denies that in 2017 the Board of Directors, the Remuneration Committee or the CEO herself asked the government, whether formally or informally, to assign a long-term bonus to CEO Dominique Leroy for the performance year 2016.

However, given that the CEO is the only member of the Executive Committee who is not eligible for a long-term incentive, the Board of Directors approached the government early last year to inquire about the possibility of granting such an incentive. In view of the negative response, the proposal was not put on the agenda of the General Assembly of April 2016, and the incentive was not requested.

The remuneration conditions for CEO Dominique Leroy were established when she was appointed in January 2014, and have not been changed since. Her remuneration is reported in a transparent and detailed manner in the Remuneration Report, which was approved today by the Board of Directors and will be published in a few weeks, in preparation for the Annual General Shareholders' Meeting of April 19.

As CEO of Proximus, Ms. Dominique Leroy is leading and guiding this company in full transformation in an exceptional way. She is of enormous importance for the realization of Proximus' short- and long-term strategy.

Since her appointment as Proximus CEO in the beginning of 2014, she has regularly been asked about her remuneration. She has always answered that she accepted the remuneration conditions when she was appointed, and every day carries out her role with great conviction, in the interests of the company. Proximus therefore regrets the way in which this matter was reported in the news.
